| Thank you for choosing Mac Donald Yacht & Ship Brokers to be the listing agency for the sale of your vessel. Our on-line forms provide you with the ability to place your vessel in our marketing program in the quickest way possible. There is one forms to complete and submit. The form is , the Listing Agreement, can be filled out on-line. Then they need to be printed, signed, and mailed to our office. (You may fax a copy to get the information to us right away, (619) 294-8694, but an original signature is required, so the original signed agreement needs to be mailed to us before the listing agreement can take effect.) We take pride in providing buyers with the most information possible about the vessels we have listed for sale. This includes a detailed text description and equipment inventory of the vessel, and an in-depth photo tour. Please provide as much accurate and detailed information as possible. Pictures are worth a lot to the prospective buyer. We have our own Internet Server and are not limited to a specific number of photos we can display for each of our listings. We encourage you to be expansive when providing us with pictures. Two dozen usually does the job quite well, be sure to include one (or more) of the vessel underway. We welcome e-mail of your picture files. You can e-mail them to office@macyacht.com , if you are not set up to e-mail pictures then send them to us using regular post. Either way the pictures are very important. |

| WHAT TYPE OF LISTINGS ARE AVAILABLE? | |

There are two types of listing agreements that we work with. Both are the standard listing agreements for the yacht brokerage industry. They are referred to as the Exclusive/Central Listing Agreement, and the Open Listing Agreement. The two types offer the seller a flexibility that covers most circumstance. The recommended type of listing in most cases is the Exclusive/Central Listing Agreement. It offers the seller and the listing brokerage the most from each of their individual perspectives. The Open Listing Agreement is suitable for special circumstance primarily having to do with logistics. |

THE EXCLUSIVE/CENTRAL AND OPEN LISTING AGREEMENTS |
|
| Both the Exclusive/Central and Open listing agreements are quite simple and straight forward. The differences between the two is that one (the Exclusive/Central) is required to enter a listing in the computerized International private yacht brokerage multiple listing service. This service through BUC NET International is one of the more valuable marketing tools available to your broker. All brokerages are not members of this service, we generally recommend listing with one of the approx. 70% of the yacht brokerages who are. An Exclusive/Central Listing Agreement is entered into with just one brokerage firm, thus guaranteeing the listing agent and listing brokerage a portion of the selling commission regardless of what brokerage house brings the buyer. Co-operative brokerage agreements are standardized within the industry and allow one brokerage to sell a listing that another brokerage has Exclusively/Centrally listed. In this way, the Exclusive/Central Listing Agreement provides a maximum marketing incentive for the listing brokerage and individual listing agent. This type of agreement also encourages (in fact requires) the promotion of the new listing to other yacht brokerages. Thus the marketing and representation needs of the seller are often best met with the Exclusive/Central Listing Agreement. | |

The Open Listing Agreement allows the seller to list the boat with multiple brokerages at the same time. The incentive being that if one of the brokerages with the Open Listing brings the buyer, that brokerage gets the full commission. The down side is, that the listing cannot be entered into the multiple listing data base with the private BUC NET service. The importance of the BUC NET mls service has been greatly compromised over the last two years by the growth of the Yachtworld Internet yacht brokerage mls service which allows for inclusion of both the Exclusive/ Central Listings and the Open Listings (BUC NET allows for inclusion to their mls only the Exclusive/Central Listings). However, most brokerages will spend the lions share of their advertising budgets on promoting their Exclusive/Central Listings. |

An Open listing agreement is especially useful if you have identified more than one yacht brokerage to market your boat. The growing viability of Internet marketing provides a good case in point. If your boat were located in Boston, MA you would want to list with a broker that had an office close to your boat to easily facilitate showings. However, you have identified Mac Donald Yacht Brokerage as having the strongest Internet marketing program. With an Open Listing agreement you could have your local yacht brokerage market the boat in their tried and true way, and have Mac Donald Yacht Brokerage conduct independent marketing to include a thorough Internet campaign. In such a scenario, since Mac Donald Yacht Brokerage is physically located in San Diego, CA, we would provide the yacht brokerage local to the boat with an agreement for a predetermined percentage of the commissions earned on the sale (by Mac Donald Yacht Brokerage) for their assistance to facilitate showing, sea trial, and survey for the buyer(s) we bring to the boat. In addition to the marketing and providing a buyer, we would handle all negotiations, contracts, disbursal of funds, title transfer, and arrangements for sea trial and surveys. |

With both the Exclusive/Central and Open listing agreements the seller has the opportunity to advertise and sell the boat on his own. A 3% commission is due to the listing brokerage with a Central/ Exclusive listing agreement, a 0% commission due with an Open listing. In both cases this is provided that the buyer did not come to the seller via the brokerage marketing of the vessel within the terms spelled out in the individual agreements. |
